CONDITIONS GÉNÉRALES DE VENTE
HYLANDS

ARTICLE I – DÉFINITIONS
– réception par Hylands de la Proforma signée ;
– réception des garanties de paiement convenues (acompte, lettre de crédit confirmée, ou autre modalité indiquée dans la Proforma) ;
– l’origine spécifique est contractuellement exigée dans la Proforma signée ;
– la Proforma a été retournée signée par le Client ;
– les garanties de paiement prévues ont été reçues par Hylands (acompte, LC confirmée, ou autre modalité convenue) ;
– les Fiches Techniques, lorsqu’elles ont été demandées, ont été retournées validées, tamponnées et signées par le Client ;
– les dommages résultant d’une mauvaise installation, d’un usage non conforme aux prescriptions techniques de Hylands ou aux normes applicables ;
– les dommages résultant de conditions d’utilisation anormales (pressions, températures, fluides hors spécification) ;
– l’usure normale des pièces ;
– au remplacement des produits défectueux, avec un délai de livraison identique au délai initial de la commande ;
– l’application de pénalités de retard au taux de la BCE majoré de 10 points (pour les clients établis dans l’Union Européenne), ou au taux de 18 % par an (pour les clients établis hors UE), calculées sur le montant TTC impayé ;
– une indemnité forfaitaire pour frais de recouvrement de 40 € (clients UE) ou 40 USD (clients hors UE) ;
ARTICLE XVII – DISPOSITIONS DIVERSES

– Client: any professional company (construction company, water engineering company, distributor, contracting authority or agent) placing an order with Hylands.
– Proforma: the commercial document issued by Hylands setting out the products, quantities, prices, lead times, Incoterm and payment terms. The Proforma signed and stamped by the Client constitutes the sole binding contractual document.
– Order: the Client’s formal acceptance of a Hylands Proforma, evidenced by the return of the signed Proforma bearing the words “Approved and agreed”.
– Products: valves, fittings, special parts, hydraulic accessories and any other items manufactured or sourced by Hylands, which may be of European or Asian origin depending on availability and specifications.
– Incoterm: an international commercial rule (ICC, latest version in force) defining the transfer of risks and allocation of logistics costs between Hylands and the Client.
– Technical Data Sheet: a technical specification document issued by Hylands and submitted to the Client for approval. In the absence of an approved Technical Data Sheet, the description stated in the Proforma shall prevail.
ARTICLE II – SCOPE OF APPLICATION
These GTCS shall automatically apply to all sales of products made by Hylands to professional clients, regardless of their country of establishment.
Any Order placed by a Client implies full and unconditional acceptance of these GTCS, notwithstanding any conflicting provisions contained in the Client’s own general terms and conditions of purchase or any other document issued by the Client.
No special condition may prevail over these GTCS without the prior written agreement of an authorised representative of Hylands. Hylands’ agents and representatives are not authorised to contractually bind Hylands; their commercial proposals shall only become final upon written approval by Hylands.
ARTICLE III – OFFERS, PROFORMAS AND ORDERS
3.1 – Offers and Proformas
LPrice offers and Proformas issued by Hylands shall remain valid for the period expressly stated in the document or, failing such indication, for 30 calendar days from their date of issue.
Prices stated in a Proforma are established on the basis of freight rates, EUR/USD exchange rates, raw material costs and taxes applicable on the date of issue. Any expired Proforma shall be subject to renewed approval by Hylands.
Hylands reserves the right to modify its product ranges, technical specifications and price lists at any time, without any obligation to amend Orders already confirmed.
3.2 – Placing an Order
Only the Hylands Proforma, returned signed and stamped by the Client and bearing the words “Approved and agreed”, shall constitute the contractual document. Purchase orders issued by the Client shall have no contractual value and may not form the basis of any claim.
An Order shall only be finally accepted once:
– Hylands has received the signed Proforma;
– the agreed payment guarantees have been received (deposit, confirmed letter of credit or any other payment method specified in the Proforma);
– the Technical Data Sheets have been approved by Hylands, where requested.
Before or after accepting an Order, Hylands may require additional payment guarantees in the event of a change in the Client’s financial situation (insolvency proceedings, cessation of payments, dissolution, previous unpaid invoices, etc.), without this constituting a wrongful termination.
3.3 – Amendment and Cancellation of Orders
Any request to amend or cancel an Order must be submitted to Hylands in writing.
– Within 5 working days following Order confirmation, provided that production has not yet begun, Hylands shall review the request and may accept it, subject to possible adjustments to the price and delivery schedule.
– After this period, or if production has already begun, any amendment or cancellation shall be subject to Hylands’ written approval and may result in the invoicing of costs already incurred (materials, subcontracting, transport costs).
– In the event of a cancellation accepted by Hylands, any deposit paid shall remain the property of Hylands as fixed compensation, without prejudice to any additional damages.
Hylands reserves the right to cancel an Order in the following circumstances, without financial compensation other than reimbursement of deposits received, less any costs already incurred: force majeure, proven insolvency of the Client, or inability to obtain supplies due to circumstances beyond Hylands’ control.
ARTICLE IV – PRICES, CURRENCIES AND PRICE ADJUSTMENTS
4.1 – Applicable Prices
The applicable prices are those stated in the Proforma approved by the Client. Prices are net, exclusive of taxes, and subject to the Incoterm specified in the Proforma.
Any change in quantity, specification or Incoterm requested after approval of the Order may result in an adjustment to prices and delivery times, subject to the written agreement of both parties.
All taxes, customs duties, levies and administrative charges applicable in the country of destination shall be borne entirely by the Client, including under DDP terms.
4.2 – Currencies and Exchange Rate Fluctuations
Hylands may issue its Proformas in euros (EUR) or US dollars (USD), depending on the nature and origin of the Products ordered.
The price shall remain firm for any Order confirmed within the validity period of the Proforma.
A price adjustment clause shall apply if shipment is postponed beyond the date specified in the Proforma at the Client’s request or as a result of a delay in establishing the required payment guarantees. In such cases, if the EUR/USD exchange rate fluctuates by more than 3% compared with the rate applicable on the date of the Proforma, Hylands reserves the right to issue a price amendment.
The reference exchange rate shall be the rate published by the European Central Bank on the date the Proforma is issued.
4.3 – Freight-Related Price Adjustments
Freight prices (sea, air or road) included in Proformas issued under CIF or DDP terms are validated on the date the Proforma is issued. If shipment is postponed by more than 30 days compared with the scheduled date and such delay is attributable to the Client (Order amendment, delay in establishing payment guarantees, awaiting regulatory information or simple approval by the Client), Hylands reserves the right to adjust the freight amount to reflect the rates applicable at the time the actual booking is made.
Port surcharges (BAF, CAF, THC, congestion charges), where not expressly included in the Proforma, shall be borne by the party responsible for freight costs under the selected Incoterm.
ARTICLE V – INCOTERMS AND DELIVERY CONDITIONS
5.1 – Applicable Rules
Delivery conditions are governed by the Incoterms® rules of the International Chamber of Commerce (ICC) in force on the date of the Proforma. Hylands offers the following Incoterms:
| Incoterm | Risk Transfer Point | Main Freight | Insurance |

| CIF | Port of destination (unloading at the Client’s expense) | Hylands’ responsibility | Minimum cover – Hylands’ responsibility |
| DDP | Agreed place of delivery in the country of destination | Hylands’ responsibility | Hylands’ responsibility |

– DDP: Hylands shall organise delivery to the agreed location and shall bear freight, insurance and export customs formalities. Import duties and taxes in the country of destination shall remain payable by the Client unless expressly stated otherwise in the Proforma. Hylands shall not be held liable for customs clearance delays resulting from local regulations or mandatory regulatory inspections in the country of destination.
In all circumstances, Hylands’ liability shall cease at the contractual delivery point defined by the selected Incoterm. Any loss or damage occurring after this point shall be the sole responsibility of the Client or its insurer.
5.3 – Packaging
Products are packaged in accordance with Hylands standards appropriate to the mode of transport and destination. Any specific packaging requirements (dry container, flatrack, fumigated packaging, special markings) must be requested before the Order is approved and may be subject to additional charges.
ARTICLE VI – ORIGIN OF PRODUCTS AND CERTIFICATIONS
6.1 – Origin of Products
Products offered by Hylands may be manufactured in factories located anywhere in the world, including Europe (France, Spain, Italy, Germany) and Asia (mainly China, India and Turkey). The origin stated in the Proforma is the anticipated origin at the time of the offer.
Hylands reserves the right to substitute one manufacturing facility for another, provided that equivalent quality and specifications are maintained, without prior notice to the Client, unless:
– a specific origin is contractually required in the signed Proforma;
– compliance documents (certificate of origin, EUR1, Form A, COO) required by the Client or funding organisation are linked to a specific origin.
In the latter case, it is the Client’s responsibility to inform Hylands of these requirements before approving the Order. Costs associated with issuing specific certificates of origin shall be borne by the Client.
6.2 – Certifications and Approvals
The certifications referred to by Hylands (ISO 9001, ISO 14001, ACS, WRAS, EN 545, EN 1074, etc.) are those held as of the date of issue of the Proforma.
It is the Client’s responsibility, before placing an Order, to verify that the certifications offered comply with the regulatory requirements of the country of destination and the specifications of the relevant projects. Hylands shall not be held liable for regulatory non-compliance in the country of destination resulting from a local requirement that was not communicated before the Order was placed.
Non-standard certificates (3.1 material certificates, coating certificates, pressure test certificates, specific test reports) are subject to additional charges and must be expressly requested before the Order is approved.
ARTICLE VII – DELIVERY TIMES
7.1 – Commencement of the Delivery Period
The delivery period shall begin on the date on which all of the following conditions have been met:
– the Proforma has been returned signed by the Client;
– the required payment guarantees have been received by Hylands (deposit, confirmed LC or any other agreed payment method);
– where requested, the Technical Data Sheets have been returned approved, stamped and signed by the Client;
– all technical information required to fulfil the Order has been provided to Hylands.
7.2 – Nature of Delivery Times
Delivery times stated in the Proforma are provided for information purposes only and shall not give rise to contractual liability on the part of Hylands, unless expressly agreed in writing that a firm delivery deadline shall apply.
Hylands undertakes to use all reasonable endeavours to meet the agreed delivery times. A delay of less than three times the duration of the initial delivery period shall not give rise to any penalty, compensation or right of cancellation.
7.3 – Force Majeure
Hylands shall not be held liable for any delay or failure to perform resulting from an event of force majeure or equivalent circumstances, including but not limited to: shipping company delays, port congestion, strikes, epidemics, war, terrorist attacks, coups d’état, natural disasters, blocked ports, loss of containers, shortages of raw materials, regulatory or administrative decisions, or any other event beyond Hylands’ control.
Hylands shall inform the Client as soon as reasonably possible of the occurrence of such an event and its foreseeable consequences for the delivery schedule.
ARTICLE VIII – TECHNICAL ACCEPTANCE, TESTING AND INSPECTIONS
8.1 – Inspections Requested by the Client
All acceptance procedures, inspections or tests requested by the Client in relation to the ordered goods shall be entirely at the Client’s expense. Such procedures shall be carried out at the factory or at Hylands’ storage facility in accordance with terms mutually agreed by the parties.
Any request for third-party inspection or acceptance (Bureau Veritas, SGS, Cotecna, Apave, Intertek or any equivalent organisation) must be submitted in writing before receipt of the purchase order / signed Proforma. No inspection request may be taken into account after Order confirmation.
Hylands reserves the right to refuse any inspection whose protocols, methods or requirements are incompatible with its internal quality control procedures, production constraints or the standards applicable to its Products. In such cases, Hylands shall propose an alternative inspection procedure providing an equivalent level of control.
If the acceptance inspection is unsatisfactory, the Client shall have 5 working days to notify Hylands in writing, providing detailed reasons.
8.2 –Mandatory Inspections at Destination
Mandatory regulatory inspections in the country of destination (pre-shipment verification – PVoC, COC, pre-shipment inspection) shall be carried out at the Client’s express request.
The Client is solely responsible for determining whether regulatory inspection is mandatory in the country of destination. Inspection costs shall be borne entirely by the Client. Hylands shall not be liable for any fines, penalties or costs resulting from a failure to carry out an inspection at destination.
8.3 – Evidentiary Value of Inspection
An inspection carried out at origin by an accredited third-party organisation (Bureau Veritas, SGS, Cotecna or equivalent) shall constitute evidence of quantities, Product types and conformity at the time of shipment.
In the absence of such an inspection, Hylands’ shipping documents (packing list and Hylands certificate of conformity) shall constitute evidence thereof.
ARTICLE IX – STORAGE AND AVAILABILITY PRIOR TO SHIPMENT
Where the goods are ready for shipment but the Client has not yet fulfilled its payment obligations (balance payable before shipment), the following rules shall apply:
– A storage grace period of 1 month from the date on which the goods are made available shall be granted to the Client free of charge.
– From the second month onwards, storage fees equal to 1% of the value of the goods shall be invoiced to the Client for each month or part thereof.
– After a total storage period of 3 months, Hylands reserves the right to cancel the Order. Any deposit paid shall then be permanently retained by Hylands as a contractual penalty. Any accrued storage fees shall remain payable in full.
These provisions shall not prevent the application of the retention of title clause (Article XIV).
ARTICLE X – WARRANTIES, LIABILITY AND CLAIMS
10.1 – Scope of Warranty
Hylands Products are warranted against manufacturing defects for a period of 12 months from the date of delivery at the contractual delivery point, subject to normal conditions of use, storage and installation.
The warranty exclusively covers non-conformities with the specifications stated in the Proforma and, where applicable, the approved Technical Data Sheet. In particular, the warranty excludes:
– damage resulting from improper installation or use that does not comply with Hylands’ technical instructions or applicable standards;
– damage resulting from abnormal operating conditions (pressures, temperatures or fluids outside the specified parameters);
– normal wear and tear of components;
– damage caused by third parties or external events (impact, corrosion, malicious acts).
10.2 – Reference Documents
The items delivered shall be deemed compliant with the specifications stated in the Proforma and, where applicable, the approved Technical Data Sheet. No other document (initial request for quotation, product sheet or technical data sheet from a competitor, specifications not attached to the Proforma) may form the basis of a claim.
Documents provided by Hylands (Technical Data Sheets, catalogues and documentation) are for information purposes only. As a professional, the Client is solely responsible for verifying that the Product is suitable for its specific requirements before placing an Order.
10.3 – Claims Procedure
Any claim must be submitted to Hylands in writing within the following time limits:
– Apparent defects or quantity shortages: within 5 working days following receipt of the goods at the contractual delivery point, accompanied by photographs, an annotated delivery note and a list of the items concerned.
– Latent defects or operating defects: within 8 working days following discovery of the defect and, in any event, no later than the end of the 12-month warranty period.
Any late or incomplete claim shall be deemed inadmissible. Defective goods may not be returned to Hylands without Hylands’ prior written approval specifying the return arrangements. Return costs shall be borne by the Client unless Hylands acknowledges that the defect falls within its responsibility.
10.4 – Remedies for Valid Claims
Where a claim is acknowledged as valid by Hylands, Hylands shall, at its sole discretion:
– replace the defective Products, with a delivery period identical to the initial delivery period for the Order;
– or refund the price of the defective Products.
These remedies shall constitute Hylands’ sole and exclusive obligation under the warranty. Under no circumstances shall Hylands be held liable for indirect or consequential damages, loss of business or operating income, commercial or financial losses, construction site penalties or any other consequential loss.
ARTICLE XI – INSTALLATION AND COMMISSIONING
The installation and commissioning of the Products shall be carried out by the Client under its sole and entire responsibility, in accordance with applicable technical standards and Hylands’ installation instructions.
Hylands does not provide installation or commissioning assistance services unless specifically agreed in writing and invoiced separately.

Payment terms (deposit, balance before shipment or deferred payment) are specified in each Proforma. Unless otherwise specified, payment of 100% of the amount due shall be required before shipment.
Payments must be made in EUR or USD, depending on the currency stated in the Proforma, by bank transfer to the account specified by Hylands, or by irrevocable and confirmed letter of credit issued in favour of Hylands in accordance with the instructions provided.
12.2 – Late Payment
Any delay in payment beyond the agreed due date shall automatically result, without prior formal notice, in:
– late payment interest at the ECB rate plus 10 percentage points (for Clients established in the European Union), or at a rate of 18% per annum (for Clients established outside the EU), calculated on the unpaid amount including taxes;
– a fixed recovery fee of €40 (EU Clients) or USD 40 (Clients outside the EU);
– the immediate suspension of any current or future Orders until all outstanding amounts have been paid in full.
12.3 – Set-Off and Early Payment Discount
The Client may not set off any amount against sums owed to Hylands without Hylands’ express written agreement. No discount shall be granted for early payment unless otherwise specified in the Proforma.
ARTICLE XIII – RETENTION OF TITLE
Hylands shall retain full ownership of the goods sold until full payment of the principal price and all ancillary amounts (penalties and costs).
In the event of non-payment by the due date, Hylands reserves the right to repossess the goods, wherever they may be located, at the Client’s expense. The Client undertakes to take all necessary measures to enable Hylands to exercise this right.
Any conflicting provision contained in the Client’s general terms and conditions of purchase shall be deemed unwritten. This retention of title clause shall be enforceable in any insolvency or collective proceedings in accordance with applicable law.
ARTICLE XIV – REPLACEMENT OF GOODS
Where replacement of goods is accepted by Hylands under the warranty or following a valid claim, the manufacturing and delivery times applicable to the replacement shall be identical to the initial lead times of the relevant Order.
No additional compensation of any kind shall be payable in connection with such replacement.
ARTICLE XV – CONFIDENTIALITY
Both parties undertake to keep confidential all information, technical documents, prices, commercial terms and data of any nature exchanged in connection with their business relationship and not to disclose such information to third parties without the other party’s prior written consent.
This confidentiality obligation shall apply throughout the duration of the business relationship and for a period of 3 years following its termination, except where disclosure is required by law (disclosure to supervisory authorities or statutory transparency requirements applicable to public procurement).
ARTICLE XVI – GOVERNING LAW AND DISPUTE RESOLUTION
16.1 – Governing Law
These GTCS and all contracts entered into with Hylands shall be governed by French law.
For international sales, the United Nations Convention on Contracts for the International Sale of Goods (Vienna Convention – CISG) shall apply in addition, insofar as its provisions are not excluded by these GTCS.
16.2 – Amicable Resolution
In the event of a dispute, the parties undertake to seek an amicable solution within 30 days from the written notification of the dispute by the first party to act.
16.3 – Jurisdiction
Failing amicable resolution:
– For Clients established in France or within the European Union: disputes shall fall within the exclusive jurisdiction of the courts having jurisdiction over Hylands’ registered office (Aix-en-Provence), including in the event of multiple defendants, third-party proceedings or summary proceedings.
– For Clients established outside the European Union, particularly in Africa: the parties agree to submit any dispute to arbitration by the International Chamber of Commerce (ICC) in Paris, in accordance with its Arbitration Rules in force. The language of arbitration shall be French. The arbitral award shall be final and enforceable. For OHADA Member States, the parties may also agree to refer the dispute to the Common Court of Justice and Arbitration (CCJA) in accordance with its rules.This clause shall apply notwithstanding any conflicting provision contained in the Client’s documents.
ARTICLE XVII – MISCELLANEOUS PROVISIONS
17.1 – Severability
If any provision of these GTCS is declared invalid or unenforceable, the remaining provisions shall remain in full force and effect.
17.2 – No Waiver
The failure by Hylands at any time to enforce any provision of these GTCS shall not be construed as a waiver of its right to enforce that provision at a later date.
17.3 – Language
These GTCS are drawn up in French. In the event of a translation, the French version shall prevail in the event of any dispute.
17.4 – Amendments
Hylands reserves the right to amend these GTCS at any time. The applicable version shall be the version in force on the date the Proforma is issued.
